Acceptance of these Terms

By accessing or using PMRoadie websites, applications, or related services (the “Service”), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Eligibility and account responsibility

You must be able to form a binding contract in your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for activity under your account, except where caused by our gross negligence or unauthorized access we failed to reasonably prevent.

You agree to provide accurate registration information where requested and to keep it current.

Description of the Service

PMRoadie provides a project workspace for memory, execution, outputs, and related assistive features as described on our website and in-product. Features, limits, and availability may change. The Service is not a substitute for professional legal, financial, or regulated advice.

Pilot / beta nature

The Service may be offered on a pilot, beta, early-access, or similarly labeled basis. Functionality, performance, integrations, and availability may change or be discontinued without prior notice. We do not guarantee uninterrupted or error-free operation, and we do not commit to a specific roadmap or timeline.

License to use the Service; no sale

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal project-management purposes, in accordance with the Acceptable Use Policy and applicable law.

We and our licensors retain all rights not expressly granted. The Service is licensed, not sold. No ownership interest in software, branding, or content we provide is transferred to you.

Access may be free, limited, trial, pilot, or otherwise restricted depending on the offering. We may introduce, change, or discontinue plans, entitlements, or features. Additional commercial terms may apply later if paid plans or enterprise arrangements are introduced.

Permitted use

You may use the Service only in compliance with these Terms, the Acceptable Use Policy, and applicable law. You are responsible for your projects’ compliance with obligations that apply to your organization (for example, confidentiality or regulatory duties).

Prohibited use

You must not misuse the Service. Without limitation, you must not: violate law; infringe others’ rights; attempt unauthorized access; interfere with or degrade the Service; distribute malware; scrape or reverse engineer except as permitted by law; or use the Service to build a competing product using our proprietary materials. User content and customer data

You retain ownership of your data and content you submit (“User Content”). You grant us a worldwide, limited license to host, process, transmit, and display User Content solely to provide, secure, improve, and support the Service and as described in our Privacy Policy.

You represent that you have the rights needed to submit User Content and that your use does not violate third-party rights. You are responsible for the legality and appropriateness of User Content and for backing up material you care about.

Intellectual property

PMRoadie name, logos, software, UI, design system, documentation, marketing copy, and other materials we provide are owned by us or our licensors and protected by intellectual property laws. Except for the limited license above, no rights are granted. See also our Intellectual Property & Copyright Policy.

Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation to you, subject to our Privacy Policy. Feedback does not create confidentiality obligations for us unless we agree in a separate signed writing.

Third-party services

The Service may integrate with or rely on third-party infrastructure (for example, hosting, authentication, email, or AI providers). Their terms and privacy practices may apply. We are not responsible for third-party services we do not control.

Changes to the Service and to these Terms

We may modify the Service or these Terms. We will post updated Terms on this site with a revised “Last updated” date. Material changes may also be communicated via the Service or email where appropriate. Continued use after changes take effect constitutes acceptance.

Suspension and termination

We may suspend or terminate access if you materially breach these Terms, create risk or harm, or where required by law. You may stop using the Service at any time. Provisions that by their nature should survive (including ownership, limitations of liability, and governing law) will survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT HAD A PAYMENT OBLIGATION.

Some jurisdictions do not allow certain limitations; in those cases limits apply only to the extent permitted by law.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction specified in a future commercial agreement with you, or otherwise as updated after legal review. Until then, this section is a placeholder: we intend to designate a neutral, commercially reasonable forum for disputes and will update this page accordingly.

Nothing in these Terms limits rights that cannot be waived under applicable consumer protection law.
